Terms of Service

1. Acceptance of Terms

By accessing and using Secreply, you accept and agree to be bound by these Terms of Service. If you do not agree, do not use our service.

2. Description of Service

Secreply provides a cloud-based platform that uses AI to help organizations automate the completion of security questionnaires. Users can upload knowledge base documents, import questionnaires, and receive AI-generated draft answers for review and export.

3. Account Registration & Security

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be at least 16 years old to use our service
• You must immediately notify us of any unauthorized access or security breach
• We are not liable for losses resulting from compromised credentials

4. Subscription and Payment

• 14-day free trial with access to all features
• Subscriptions are billed monthly
• Payments processed securely through Stripe
• You may cancel at any time; access continues until the end of the current billing period
• Refunds are handled on a case-by-case basis

4.1 Taxes and Fees

• All prices are exclusive of applicable taxes (VAT)
• You are responsible for determining and paying applicable taxes
• Where required by law, applicable VAT will be added to your invoice
• You agree to provide valid tax identification numbers when requested

5. User Responsibilities & Prohibited Uses

You agree to:

• Use the service lawfully and ethically
• Not share your account credentials
• Not attempt to breach security or access unauthorized areas
• Not upload malicious code or content
• Respect intellectual property rights
• Not use the service for illegal activities
• Not reverse engineer, decompile, or attempt to extract source code
• Not use automated tools to access the service without permission
• Not resell, redistribute, or sublicense the service
• Maintain accurate account information
• Be solely responsible for all content and data uploaded to your account

6. Data Ownership

• You retain ownership of all data you input into the platform
• You retain ownership of all documents you upload
• We have the right to use aggregated, anonymized data for service improvement
• You can request a data export at any time

7. Service Availability & Support

7.1 Service Availability

• We target high uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions beyond our reasonable control

7.2 Customer Support

• Support is provided via email at support@secreply.com
• We aim to respond within 24–48 hours during business days (Monday–Friday, 9 AM – 5 PM CET)
• Response times are targets, not guarantees
• Support covers platform functionality, account issues, and technical problems

8. Intellectual Property

Secreply and its content (excluding user data) are owned by frits.cloud and protected by copyright, trademark, and other applicable laws.

9. Warranties and Disclaimers

We disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or completeness of AI-generated answers
• Warranties that defects will be corrected

10. Limitation of Liability

To the maximum extent permitted by law:

• Secreply shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of profits, revenue, data, or business opportunities
• We are not responsible for unauthorized access or security incidents beyond our reasonable control
• Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for business decisions made based on AI-generated content

10.1 User Indemnification

You agree to indemnify and hold harmless Secreply (frits.cloud), its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use or misuse of the service
• Your violation of these terms
• Your violation of any third-party rights
• Content or data you upload to the service

11. Termination & Data Export

11.1 Cancellation

• You may cancel at any time through your account settings
• Access continues until the end of your current billing period
• Automatic renewal may be disabled at any time

11.2 Data Export

• You can export your questionnaire data at any time through the platform
• After cancellation: 30-day grace period to export your data
• Data deletion: All data permanently deleted after 30 days
• No vendor lock-in: Your data is yours to take with you

11.3 Account Termination

• We may suspend or terminate accounts that violate these terms
• Even in case of termination for violations, you retain data export rights

12. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email at least 30 days in advance. Continued use after the effective date constitutes acceptance. If you disagree with changes, your sole remedy is to terminate your account.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, labor disputes, government actions, or internet/telecommunications failures.

14. Data Residency

All data is hosted in the EU (AWS Frankfurt, Germany). Your data remains in the EU region throughout your subscription.

15. Dispute Resolution & Governing Law

15.1 Governing Law

These terms are governed by the laws of the Netherlands, excluding its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent court in the Netherlands.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Data Processing Agreement, constitute the entire agreement between you and Secreply. By accepting these Terms, you also accept the Data Processing Agreement.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.3 No Waiver

Our failure to enforce any provision shall not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
